COMPANIES PROVIDING AIRCRAFT MAINTENANCE SERVICES WILL BE ABLE TO PROCEED WITH THE TRANSACTION
The Competition Council has approved the acquisition by the U.S. company Setna iO of a 70.37% stake in J&C Aero and the takeover of its sole control.
The merger notification was received on 27 April 2026. Having assessed the circumstances of the transaction, the Competition Council has concluded that the proposed merger will not result in the creation or strengthening of a dominant position or significant restriction of competition in the relevant markets.
Setna iO sells commercial aircraft components (engines, propulsion systems) and parts worldwide and is also involved in the sale and leasing of commercial aircraft. Affiliated companies perform aircraft maintenance and repairs. Setna iO imports aircraft parts into Lithuania but has not imported any aircraft into our country and does not lease aircraft in Lithuania nor provide aircraft maintenance and repair services.
J&C Aero provides commercial aircraft maintenance and repair services, such as line maintenance, the design and implementation of aircraft interior modifications, the repair of interior components, and more. The company also manufactures and sells aircraft interior components.
The intended merger must be notified to the Competition Council and cleared if the combined total revenues of the undertakings involved in the concentration in Lithuania in the last year before the merger exceed EUR 20 million and the total revenues of each of at least two undertakings involved in the concentration in Lithuania in the last year before the merger exceed EUR 2 million.
