ESTONIAN COMPANIES WILL BE ABLE TO CARRY OUT THE TRANSACTION
The Competition Council has allowed Inbank Holdings to acquire 33.43% of Mobire Group shares and take sole control of the company. Prior to this transaction, Inbank Holdings had joint control of Mobire Group together with other shareholders.
The merger notification was received on 11 November 2025. Having assessed the circumstances of the transaction, the Competition Council has concluded that the proposed merger will not result in the creation or strengthening of a dominant position or significant restriction of competition in the relevant markets.
Inbank Holdings is a holding company registered in Estonia and controlled by Inbank, a credit institution established in the same country. The latter operates through branches in Estonia, Latvia, Lithuania, Poland, and the Czech Republic. Inbank offers various types of digital consumer finance solutions in Lithuania, such as hire purchase, small loans, payment services for businesses through a financing platform, etc. Companies related to Inbank also provide electronic equipment rental and other financing services.
The holding company Mobire Group, established in Estonia, does not engage in independent economic activity. The companies controlled by the group, Mobire Eesti, Mobire Latvija, and Mobire Lietuva, rent cars and minibuses and sell used vehicles in the Baltic countries.
The intended merger must be notified to the Competition Council and cleared if the combined total revenues of the undertakings involved in the concentration in the last year before the merger exceed EUR 20 million and the total revenues of each of at least two undertakings involved in the concentration in the last year before the merger exceed EUR 2 million.
