AUTHORIZED CONCENTRATIONS BY AMBER TRUST II S.C.A. AND RAUTARUUKKI OYJ

The Competition Council examined the submitted concentration notifications and passed its decisions in respect of the issues considered.

1. Decision of the Competition Council to authorise Amber Trust II S.C.A engaged in investment activity to implement concentration by acquiring up to 28.9 % shares of AB Malsena and, in cooperation with D. Tvarijonavičius, R. Kriūnas, UAB Liprama Vilnius, Liprama ApS acquire the joint control. The Competition Council concluded that concentration implemented by Amber Trust II S.C.A. is conglomerate. It has been established that the concentration concerned will not affect the degree of concentration in the relevant market, neither it will create or strengthen the dominant position or lessen, to any significant extent, competition in the relevant markets.

As the substantiation for the intended transaction the participants thereof have indicated that concentration is a constituent part of the joint strategy of Amber Trust II S.C.A. pursuing to develop its activities in the Baltic region. The concentration to be implemented will not change the type of activity of AB Malsena.

2. The decision was passed by the Competition Council to authorize Rautaruukki Oyj to implement the intended concentration by acquiring up to 100 % shareholding of Metalplast-Oborniki Holding Sp.z.o.o. in accordance with the submitted notification. Although the intended concentration will to a minor extent affect the degree of concentration in the Lithuanian market for sandwich type panels, a dominant position will not be created or strengthened, nor will competition be lessened in the market concerned.

As indicated in the notification on concentration the Finish company Rautaruukki Oyj, whose principal activity is related to the production of metal and value-added metal products and trade in such products, seeks to strengthen its position in the market for the supply of systemic and whole-range products for construction industry. The principal activity of the targeted Metalplast-Oborniki Holding Sp.z.o.o. is the production of sandwich type panels for construction business and trade in such products. Since both undertakings participating in the concentration have been generating income from sales to undertakings registered in Lithuania, to implement the concentration they had to obtain an authorization of the Competition Council of the Republic of Lithuania.
