COMPANIES SELLING COSMETICS AND PERSONAL CARE PRODUCTS WILL BE ABLE TO CARRY OUT THE TRANSACTION
The Competition Council has authorised Kosmelita to acquire 100% of the shares of Bodybalt, a Latvian company with a branch in Lithuania, and 100% of the shares of Bodybalt, an Estonian company, and to take over the sole control of these companies.
The notification of intended concentration was received on 3 July 2024. Having assessed the circumstances of the transaction, the Competition Council has concluded that the proposed concentration will not lead to the creation or strengthening of a dominant position or to a significant impediment to competition in the relevant markets.
Bodybalt, a Latvian and Estonian company, sells cosmetics and body care products under a franchise granted by The Bodyshop International Limited in Lithuania, Latvia and Estonia, in The Body Shop brand stores and online.
Kosmelita operates the Eurokos chain stores in Lithuania and sells cosmetics, body care and perfumery products in physical stores and online. The company is not currently active in Latvia and Estonia. After the merger, Kosmelita will be able to operate under a franchise in The Body Shop brand stores in Lithuania, Latvia and Estonia and online.
The intended concentration must be notified to the Competition Council and cleared if the combined total revenues of the undertakings involved in the concentration in the last year before the merger exceed EUR 20 million and the combined total revenues of each of at least two undertakings involved in the concentration in the last year before the merger exceed EUR 2 million.
