CONCENTRATION AUTHORISATIONS ISSUED

In the meeting of the Competition Council examined the notifications on intended concentration submitted by economic undertakings and natural persons and passed appropriate decisions on the issues considered.

1. The Competition Council decided to authorise V.Barakauskas to implement concentration by acquiring a 100% shareholding of UAB Eismas in accordance with the submitted notification. The intended concentration has been assessed as conglomerate not changing the degree of concentration in the relevant markets, therefore not creating or strengthening a dominant position, or capable of causing any significant lessening of competition in the markets concerned. In the concentration notification was noted that UAB Eismas is being acquired for investment purposes and the nature of the activity of the company will not be modified and to the effect that it will continue the activity of installation and maintenance of technical traffic regulation measures and the road marking.

2. The Competition Council passed the decision to authorise A. Trumpa and UAB Pieno pramonės investicijų valdymas to implement the intended concentration by acquiring up to 100 % shares of AB Rokiškio sūris and acquiring a joint control in accordance with the submitted notification. The Competition Council established that in the case of proposed concentration the former joint control over AB Rokiškio sūris by UAB Survesta, A. Trumpa and UAB Pieno pramonės investicijų valdymas is being replaced by the joint control exercised by A. Trumpa and UAB Pieno pramonės investicijų valdymas. The intended transaction will result in a diminished concentration in the markets of the milk purchase and dairy products, no dominant position will therefore created or strengthened, neither will it result in a significant lessening of competition in the markets concerned.

3. Having examined the submitted notification on concentration and considered all the related circumstances the Competition Council decided to authorise AMBER TRUST II S.C.A. to implement concentration by acquiring up to 32% of shares of UAB Litagros chemija, and in conjunction with the natural persons G. Kateiva, D. Grigaliūnas, A. Grigaitis acquire the joint control of UAB Litagros chemija. The concentration implemented by AMBER TRUST II S.C.A. has been assessed as horizontal concentration. The intended transaction will result in the increase of its participants in the Lithuanian markets for the purchase, storage of grain cultures and sale of flour meant for bread and bakery products. It has been noted, however, that upon Lithuania’s entry into the EU, the duties upon import of grain and flour have significantly decreased, and duties on imports from the EU Member States have been eliminated, as well as all customs barriers. Following the concentration, even though holding a significant share of the market concerned the undertakings would not acquire a unilateral determining influence also due to the strong countervailing effect of the strong buyers (networks of retailers, or enterprises holding a strong position in the bread and bakeries markets). It has been established that due to the above and other circumstances the intended concentration will not create or strengthen the dominant position or cause a significant lessening of competition in the relevant markets.
