CONCENTRATION AUTHORISATIONS ISSUED

Having examined the concentration notifications submitted by the applying undertakings the Competition Council resolved as follows:

1. The Competition Council authorised the implementation of concentration by reorganising UAB Natanga and UAB Rovisa by way of merging or incorporation and through the acquisition, by Juozas Lebrikas and Romanas Irtmonas a joint control in accordance with the submitted notification. The examination of the notification allowed a conclusion that the intended concentrating will not result in a creation or strengthening of a dominant position, or a significant lessening of competition in relevant markets.

As indicated by the participants of the intended concentration, the deal targets to enhance the competitiveness of the undertakings concerned and merge the available production, property and intellectual resources in order to be able to more efficiently compete in the meat product and meat wholesale markets. Furthermore, both companies are also developing the retail trade in own-production meat products, thus the merging of the resources of the undertakings is reasonably expected to enable a more efficient utilisation of the retail trade network and thus better meet the consumer needs.

In June 2006, the Competition Council had passed a resolution to authorise the concentration between UAB Natanga and UAB Grimeda, however, at that time the companies did not implement the deal under the authorisation.

2. Having concluded that the intended concentrating will not result in a creation or strengthening of a dominant position, or a significant lessening of competition in relevant markets the resolution was passed to authorise UAB Avestis and UAB Avestis Capital via the jointly managed UAB Avesko keliai and UAB Šiaulių plento grupė to implement concentration by acquiring a 54 percent holding of UAB Šiaulių plentas according to the submitted concentration. In the concentration notification was indicated that UAB Avestis and UAB Avestis Capital whose main area of economic activity is financial investment, having assessed the prospects of road building and repair markets in Lithuania have decided to channel their investment resources into the highway and road building business.

3. The resolution was passed to authorise UAB Finansų spektro investicija to implement concentration by acquiring up to 50 percent holding of AB Vilniaus Vingis in accordance with the submitted notification. In the concentration notification was indicated the purpose of the acquisition of shares as a major investment by the company – UAB Finansų spektro investicija intends to increase its interest in the target company by acquiring up to 50 percent of shares of AB Vilniaus Vingis.
