THE COMPETITION COUNCIL AUTHORISED THE ACQUISITION OF THE COMPANIES EKO GROUP AND LAZDYNŲ BŪSTAS

In its meeting the Competition Council examined the notification filed by undertakings concerning the authorisations for concentration and passed the appropriate decisions.

1. The resolution was passed to authorise UAB Avestis to implement the concentration deal by acquiring 100 percent of shares of UAB Eko Group in accordance with the submitted notification. It has been established that the intended concentration will not result in a creation or the strengthening of a dominant position or a significant lessening of competition in the relevant markets. The submitted concentration notification specifies that UAB Avestis the principal area of activity whereof is investment has resolved to invest into the waste processing business having assessed the prospects for the growth in the demand for the waste recovery, transportation and processing services in Lithuania. UAB Eko Group is an active player in the waste recovery, transportation and processing services in the territory of Lithuania.

2. The Competition Council having examined the applications resolved to authorise AB City Service to implement the concentration deal by acquiring 100 percent of shares of UAB Lazdynų būstas in accordance with the submitted notification. As has been indicated in the submitted notification through the acquisition of the control of UAB Lazdynų būstas , AB City Service seeks to acquire a successfully operating and economically viable enterprise. Both AB City Service and UAB Lazdynų būstas operate in the same relevant market, i.e., provides the building (including the multi-apartment residential houses) maintenance services in Vilnius.

3. In its meeting the Competition Council resolved to extent the examination of the notification (received on 17 October 2007) on concentration through the acquisition by Rautakirja Oy of 100 percent of shares of UAB Impress Teva for the period set forth in the Law on Competition. The examination of the notification has been extended to enable the competition authority to examine the substantial volume of the material related to the intended deal and appropriately assess the possible consequences of the possible concentration.

The Competition Council hereby reminds that Rautakirja Oy, in addition to the notification on the acquisition of 100 percent of shares of UAB Impress Teva, has submitted the draft terms of the implementation of the concentration deal and the assumed undertakings. When proposing the draft Rautakirja Oy represents that an efficient competition in the publications distribution market in the Republic of Lithuania shall be ensured.

With a view to thoroughly assessing the impact of the intended concentration deal upon the Lithuanian publications distribution market the Competition Council hereby calls all undertakings concerned to provide their reasoned feedback and suggestions concerning the notification submitted by Rautakirja Oy on the intended concentration and the draft terms of the implementation of the concentration deal and the undertakings the company has assumed.
