THE COMPETITION COUNCIL AUTHORISED THE CONCENTRATION DEALS

1. Having established that the intended concentration deal will not result in a creation or a strengthening of the dominant position, or any significant lessening of competition in the relevant markets of trading in large consignments of chemicals and the market for the distribution of consumer and specialised chemicals, the Competition Council authorised Brenntag CEE GmbH to perform the concentration deal by acquiring 100 percent shares of Dipol Chemical International, Inc. according to the submitted notification. The concentration was assessed having considered that both the acquiring undertaking and the undertaking being acquired operate in Lithuania through the companies owned by them and registered in Lithuania – Brenntag Lietuva UAB and SIA Dipol Baltija. The principal area of activities of Brenntag CEE GmbH registered in Austria is the preparation, mixing, distribution of and trading in chemicals, while the American company Dipol Chemical International, Inc. is engaged in the distribution of polymers used in packaging production, construction, production of household items and communications pipelines.

2. The Competition Council passed the decision to authorise Agrowill Group AB to indirectly implement a concentration deal via its subsidiary AWG Investment 2 UAB by acquiring a 73.58 percent interest in the agricultural company Tetirvinai ABaccording to the submitted notification. By this concentration deal Agrowill Group AB seeks to increase its investment into the agricultural sector. By utilising the accumulated expertise and applying methods of centralised management of agricultural companies Agrowill Group AB expects to optimise the business management processes in Tetirvinai AB and increase its profitability.
