THE KT ALLOWS KKR & CO.L.P. TO ACQUIRE ALLIANCE TIRE GROUP B.V. VOTING RIGHTS

On 22 May 2013, the Competition Council (Konkurencijos taryba, KT) allowed KKR & CO.L.P. to acquire up to 94.39 per cent of Alliance Tire Group B.V. voting rights indirectly via KKR AT Dutch B.V. and KKR AT Auxiliary Dutch B.V.

KKR & CO.L.P. is an investment company.

KKR AT Dutch B.V. and KKR AT Auxiliary Dutch B.V. have been established especially for the purposes of the merger implementation.

Alliance Tire Group B.V. produces and supplies the tires used in anti-motoring roads in the branches of agriculture, forest, construction and land management.

Having performed a thorough evaluation of the circumstances related to the intended merger, the KT acknowledged that the intended merger will not create or strengthen a dominant position, or significantly restrict competition in the relevant markets.
