Vilnius Regional Administrative Court has rejected the appeal by AB Kauno grūdai against the Competition Council’s decision of 9 June 2017, whereby the company was fined EUR 947,700 for acquiring about 51 per cent of Vievio paukštynas shares and gaining control over the company, and thus implementing an unnotified merger.

The Competition Council reported that UAB Rimi Lietuva (RIMI) failed to implement merger remedies which the authority approved as a condition when clearing the acquisition by RIMI of 100 per cent shareholding and sole control of UAB Palink ( PALINK ).
Having considered the amendments to the Law on Competition (Law), the Council revised merger notification and examination procedure, which takes into force from January 1, 2018.
The Supreme Administrative Court of Lithuania (Court) concluded that the company Baltic Ticket Holdings which acquired UAB Nacionalinis bilietų platintojas shall submit a merger filing to the Competition Council which started merger control proceedings on its own initiative.

The Competition Council cleared the acquisition of 5,6 per cent (together with the currently owned shares – 25,6 per cent) of UAB Balux shares and joint control by UAB SOSTENA together with UAB Lona .
On September 5 the Council cleared the acquisition of 23 per cent of UAB 1ClickFactory shares and joint control by the Netherlands-based The IT Channel Company from UAB Volternas and the Danish company Sfink Invest .
On August 30 the Competition Council cleared the acquisition of elevators located in Rokiškis and Kretinga by UAB Agrokoncerno grūdai .
On July 25 the Competition Council cleared the acquisition of commercial real estate located at Gedimino pr. 20, Vilnius by UAB SPORTLAND LT

The Competition Council found that having acquired about 51 per cent of Vievio paukštynas shares and gained control over the company, Kauno grūdai implemented unnotified merger. For the infringement of the Law on Competition, the Council fined Kauno grūdai EUR 947,700.

Lithuanian Competition Council (the Council) announced that the new Merger Notification and Examination Procedure (the Merger Procedure) had come into force on 1 January 2016. As of that date, all merger notifications must be submitted in line with the new Merger Procedure.
